Corporate Secretary

  • Manages and oversees the preparation of the agendas and maintenance of the corporate record for the Committees/BoDs/CC CEO
  • Propose, adjust and manage the schedule, logistics and agenda of the meetings of the Committees/BoDs/CC CEO and the meetings of shareholders if required
  • Attends board and committee meetings, administrates notes and meeting minutes, monitors time and agenda to be respected
  • Ensures accurate and timely dissemination of actionable decisions from Committees/BoD/CC to the companies (not a member of the board and does not vote, neither interferes in the natural hierarchy and does not substitute members of the board)
  • Maintains key corporate documents and records, supports the generation and coordinates the delivery of the reports to the Committees/BoDs/CC CEO
  • Liaises with auditors, lawyers, tax advisers, bankers and Corporate Center on governance issues, informs the Corporate Center about legal and regulatory aspects that can affect the Group’s operation
  • Ensures compliance with statutory and regulatory requirements and assists with implementation of decisions made by the Committees/BoDs/CC CEO, follows-up and reports to the Committees/BoDs/CC CEO the progress and execution of previously made decisions
  • Acts as a primary point of contact between the Corporate Center and the companies for governance-related issues, serves as an active member of Corporate Center
  • Degree in business, law, or public administration, Master degree is a plus
  • 5+ years of relevant experience, preferably in a role dealing with organization and corporate governance
  • Knowledge about Azerbaijan’s corporate culture, laws and regulations
  • Strong administrative skills with excellent planning and organizational skills with strong attention to details
  • Strong written and oral communication skills, ability to relate to all levels of staff
  • Understanding of corporate law and corporate governance
  • Good judgement, discretion and diplomacy in regards to handling confidential and/or highly sensitive matters and high level of personal integrity
  • Business fluency in Azerbaijani and English, preferably in Russian
